These Terms and Conditions govern your access to and use of the Terasync Tech website and services, including website design, website development, and AI marketing video production.

By using our website, submitting a project enquiry, or engaging our services, you agree to the terms applicable to your use and engagement. If you do not agree with these terms, please discontinue using the website.

1. About Our Services

Terasync Tech provides digital services that may include website design, website development, website redesign, search engine optimization setup, website deployment, integrations, and AI marketing video production.

The precise services, deliverables, features, timelines, and responsibilities for a project will be described in the relevant quotation, proposal, service agreement, or written confirmation.

2. Project Scope and Requirements

Each project is delivered according to the scope agreed upon before work begins. Requests that fall outside the agreed scope may require additional fees, revised timelines, or a separate agreement.

We will communicate material changes to the project scope and seek agreement on any additional charges before proceeding with the additional work.

3. Pricing and Quotations

Prices displayed on our website are subject to the applicable package description, exclusions, and terms presented at the time of purchase or quotation. Promotional or launch prices may change without notice for future projects.

A quotation will specify the agreed price, currency, scope, and any applicable payment conditions. Additional work, third-party subscriptions, hosting, domains, paid plugins, licenses, or other external expenses may be charged separately where disclosed and agreed upon.

4. Payments

Payment amounts, due dates, deposits, and payment milestones will be specified in the relevant quotation or written agreement.

Work may be scheduled to begin after any required initial payment has been received. We may pause work or withhold final deliverables or launch where an agreed payment remains overdue, subject to applicable law and the terms of the project agreement.

Any applicable taxes, transaction fees, or other charges will be handled according to the agreed terms and applicable law.

5. Project Timelines and Delivery

Estimated delivery times depend on the selected package, project complexity, availability of required materials, and the speed of client feedback and approvals.

We will make reasonable efforts to meet agreed timelines. Delays caused by incomplete content, delayed approvals, scope changes, third-party services, or circumstances beyond our reasonable control may affect the delivery schedule.

6. Revisions and Approvals

Each package or proposal may include a specified number of revisions. Revisions are intended to refine the agreed deliverables within the original project scope.

New features, substantial design changes, additional pages, or requests outside the agreed scope may be treated as additional work and quoted separately.

Clients are responsible for reviewing submitted work and communicating feedback within a reasonable timeframe. Final approval confirms acceptance of the deliverables, subject to any applicable contractual rights.

7. Client Responsibilities

Clients agree to provide accurate project information, required content, brand assets, access credentials, and feedback necessary for delivery.

Clients must ensure they have the legal rights, permissions, and licenses required to provide and use any text, photographs, videos, trademarks, music, recordings, or other materials supplied for a project.

Clients are responsible for checking the accuracy of business information, prices, claims, contact details, and other content they approve for publication.

8. Intellectual Property

Each project will be subject to the intellectual property terms stated in its quotation or written agreement.

Unless otherwise agreed, ownership or transfer of rights in specifically commissioned final deliverables will be subject to receipt of all agreed payments and any applicable third-party license restrictions.

Pre-existing software, reusable code, frameworks, development tools, methods, templates, and other materials owned or licensed by Terasync Tech remain subject to their existing ownership and license terms.

Third-party fonts, plugins, stock assets, software, and other licensed materials remain subject to their respective license conditions.

9. AI Marketing Videos and Third-Party Tools

AI marketing video services may use artificial intelligence tools, automated production systems, and third-party platforms to create or edit content.

AI-generated results may contain inaccuracies, inconsistencies, or limitations. Clients should review and approve final content before publishing or using it in advertising campaigns.

We do not guarantee that AI-generated content will be unique, free from third-party rights claims, or suitable for every commercial or regulatory purpose. Clients must obtain any necessary permissions and ensure that the intended use complies with applicable law and platform policies.

10. Third-Party Services and Integrations

Websites and marketing deliverables may rely on third-party providers, including hosting companies, domain registrars, analytics platforms, payment gateways, plugins, AI tools, and advertising platforms.

These services may have separate fees, terms, availability requirements, and privacy policies. Unless expressly agreed otherwise, Terasync Tech does not control the independent operation or future availability of third-party services.

11. Hosting, Maintenance, and Support

Hosting, ongoing maintenance, security monitoring, content updates, and technical support are included only where specified in the relevant package or agreement.

Services not included in the original scope may require a separate quotation or maintenance plan. Clients remain responsible for renewing domains, subscriptions, or other services registered in their own name.

12. Website Performance and SEO

We may implement agreed SEO foundations, technical improvements, analytics integrations, and performance optimizations as part of a project.

Search engine rankings, website traffic, lead generation, advertising results, sales, and conversion rates depend on many factors outside our control. We do not guarantee specific rankings, traffic levels, revenue, or business outcomes unless expressly agreed in a separate written contract.

13. Acceptable Use

You must not use our website or services to distribute unlawful content, infringe intellectual property rights, commit fraud, transmit malicious software, interfere with website security, or violate applicable laws.

We reserve the right to restrict access to our website or suspend affected services where reasonably necessary to address misuse, security risks, or legal requirements.

14. Confidentiality and Personal Information

Information shared during a project may be used to communicate with you and provide the agreed services. Confidential information will be handled in accordance with any applicable confidentiality agreement and relevant legal obligations.

Our collection and use of personal information are described in our Privacy Policy.

15. Cancellation and Refunds

Cancellation requests must be submitted in writing. The treatment of payments, deposits, completed work, work in progress, and committed third-party costs will be governed by the relevant project agreement and applicable law.

Any refund eligibility, cancellation fees, or payment adjustments will be determined according to those terms. Nothing in this section excludes rights or remedies that cannot legally be excluded.

16. Warranties and Limitation of Liability

We will provide our services with reasonable care and in accordance with the agreed project scope. Except where expressly stated in a written agreement or required by law, we do not guarantee that every service will be uninterrupted, error-free, or compatible with every third-party system.

To the extent permitted by applicable law, Terasync Tech will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services.

Nothing in these terms excludes or limits liability that cannot legally be excluded or limited. Any further limitations of liability will be subject to applicable law and the relevant project agreement.

17. Indemnification

To the extent permitted by applicable law, clients are responsible for claims arising from materials they supply, their unlawful use of deliverables, or their infringement of third-party rights. This does not apply to the extent a claim results from our own breach, negligence, or other conduct for which responsibility cannot legally be excluded.

18. Changes to These Terms

We may update these Terms and Conditions to reflect changes in our services, business practices, or legal requirements. Updated terms will be published on this page with a revised date.

Changes to the terms of an existing project will be handled in accordance with the applicable project agreement and law.

19. Governing Law and Disputes

These terms are subject to applicable law. The governing law and dispute resolution process for a specific project may be stated in the relevant written agreement. Nothing in this section removes any mandatory legal rights available to a customer.
